eRx Network Announces Merger with Allwin Data
-- Strategic Merger Joins Significant Healthcare Transaction Processing Company with Medicare Part B Expertise --
FORT WORTH, TEXAS AND ASHEVILLE, NORTH CAROLINA (March 1, 2005)
eRx Network, a leading provider of pharmacy transaction processing and value-add services and Allwin Data, a leading provider of specialty pharmacy claims processing services today announced the combination of their businesses.
The merger joins two complementary organizations in the competitive business of providing claims management, transaction processing services, and electronic prescribing services to retail pharmacies. With operations located in Asheville, NC and Fort Worth, TX, the combined business will serve more than 25,000 pharmacies nationwide.
Under the terms of the definitive agreement, eRx Network acquired the assets of Allwin Data in exchange for eRx Network stock and cash. Mark Lyle, President and CEO of eRx Network, will retain his responsibility for management of the transaction processing business. Murray Lyle as President of the Allwin division continues his management responsibilities for the overall operations of the specialty claims processing business. Financing for the transaction was provided solely by existing shareholders and senior management.
